Description

Sebastián is a partner in the Corporate/M&A Group at A/C/R. He has concentrated his practice on mergers and acquisitions, specializing in operations related to private equity, energy, infrastructure and natural resources, allowing him to lead negotiations in some of the most relevant operations in the market in recent years.

Throughout his experience, he has also advised listed companies on regulatory aspects applicable to the issuance, registration and placement of securities and bonds in Chile and abroad, and in the development and implementation of corporate governance practices.

As part of the Energy, Projects and Infrastructure Group, Sebastián has advised several clients on the development, financing and construction of energy and infrastructure projects in Chile and abroad.

Sebastián is recognized by The Legal 500 as a Rising Star in the areas of “Corporate and M&A”, “Energy and Natural Resources” and “Projects”, being also nominated as rising star of the year award in each of those practice areas. He has also been recognized as "Ones to Watch" by Best Lawyers in the Corporate and Mergers and Acquisition Law category.

Relevant Experience

•        Solarpack | Advised on the potential acquisition of 100% of the outstanding shares of three solar projects owned by Lader Energy, totalling 460 MWp. All the projects are in the development stage.
•        Advised Verano Energy in the sale and financing of a 150 MW portfolio, which consists of 25 photovoltaic projects currently under development in the central region of Chile. The transaction included the documents for the acquisition of the projects, such as the necessary contracts for the development of the project portfolio, along with EPC ("turnkey") contracts, and operation and maintenance contracts for each project.
•        Advised Pacific Hydro Chile S.A.  on the acquisition of two solar projects from Sociedad Agrícola Río Escondido Limitada. These projects, with a total capacity of 180 MWp, are currently under development in Atacama, northern Chile.
•        Advised Nueva Inversiones Pacífico Sur Ltda (IPS) on an agreement to purchase 65% of Sun Dreams’ shares, for USD 210 million.  
•        Advised Empresas AquaChile S.A. on the registration and public placement of new company shares both in Chile and abroad.
•        Advised Blackstone Group, a US multinational private equity firm, on the acquisition of a stake in the US investment fund FRS Capital. As a result, Blackstone gains indirect shareholding in Carrix, leading container terminal operator in the Americas, as well as in Asia, New Zealand and South Africa.
•        Advised Empresa Nacional del Petróleo on the acquisition by Borealis Infrastructure of a 36.6% stake in the liquefied natural gas regasification company GNL Quintero and its corporate reorganization.
